A Closed Pensions Fund Administrator (CPFA) set up to further improve the post working standards of the Staff members of Nigerian Universities invites eligible candidates to apply for the following Management positions:

 

 

Company Secretary/Head of Legal (Ref: NPMCO/07/2013)

 

Key Duties & Responsibilities:

Oversees the Company Secretariat/Legal issues of the Company reports to the Managing Director. Serves as the secretary to the Board of Directors and will maintain the corporate records of all Legal transactions of the Company. He/She is expected to:

  • Manage the entire Company Secretariat and Legal department
  • Provide all corporate statutory and secretarial services to the company
  • Convene meetings of standing or ad-hoc Board Committees and EXCO
  • Keep custody of the company’s minutes of meetings, seals and the register of sealed documents
  • Document all Board Resolutions
  • Transcribe the minutes of all  meetings convened by the company Secretary/Legal Adviser
  • Serve as the Legal Adviser of the company on all legal issues Contract agreements management and compliance

 

Assist in:

  • performing required legal researches on issues relating to the company
  • reviewing contractual agreements between the company and other parties
  • reviewing the company’s policies and procedure and ensuring that this meet regulatory requirements

 

  • Obtain updated copies of regulations and other relevant documentation relating to the company and file appropriately

 

  • To receive notice on behalf of the company which are delivered to its registered office

 

  • To conduct correspondence with members with regard to share capital matters

 

  • Submission of returns, as required by the Act, to the Registrar of Companies

 

Educational Qualification:

  • Degree in Law. LL.B
  • Masters degree will be an added advantage

 

Professional Qualification:

  • Barrister at Law (BL Mandatory), CIS, ACIS (FCIS) and other professional qualifications will be an added advantage

 

Experience:

  • Minimum of 10 years post qualification experience and 4 years of top/Senior Management positions and must be conversant with financial management business environment

 

 

 

Central Requirements:

  • A First degree with minimum 2nd Class Lower class or its equivalent
  • A degree in numerate or semi- numerate disciplines such as Actuarial Sciences, Statistics, Mathematics, Accounting, Economics, Banking & Finance, Insurance, Law and Business Administration and other related discipline) for position 1 -5
  • Working experience in the Financial Sector
  • ACA, ACCA, ICMA, CIBN, CIS, CFP or CFA and other relevant professional qualification from reputable organizations for positions 1 to 5

 

Skills

  • Candidates are expected to exhibit professionalism, communication skills. Leadership Skills, Objectivity and independence, proven ability to build and maintain relationship at all levels, self motivation and managerial ability

 

Others:

  • Age: Between 35 and 50 Years
